Terms of Service

These Terms of Service ("Terms") govern the relationship between Oddy Agency ("we", "us", "our") and you ("Client") when you engage our services or use our website at oddyagency.com. By proceeding with any service agreement, you agree to these Terms.

1. Services

Oddy Agency provides digital services including but not limited to: website design and development, search engine optimisation (SEO), UI/UX design, brand identity design, e-commerce development, and digital marketing. The specific scope of work for each project is defined in a separate project proposal or agreement provided before work begins.

2. Project Proposals & Agreements

All projects begin with a written proposal outlining the scope of work, deliverables, timeline, and payment terms. Work will not commence until the Client has approved the proposal in writing (email confirmation is accepted) and made any required deposit payment.

3. Payment Terms

• A deposit of 50% of the project fee is required before work begins.
• The remaining 50% is due upon project completion, before final files or website access are transferred.
• Ongoing services (e.g. SEO management, maintenance) are billed monthly in advance.
• Invoices not paid within 14 days may result in work being paused.
• All prices are in USD unless otherwise stated in the project agreement.

4. Revisions

Each project includes a reasonable number of revision rounds as specified in the project proposal (typically 2–3 rounds). Revisions beyond the agreed scope may be subject to additional charges, which will be communicated and agreed upon in advance.

5. Client Responsibilities

The Client agrees to:

• Provide all required content, images, and materials within agreed timelines
• Provide timely feedback to avoid project delays
• Ensure all materials provided are owned by or licensed to the Client
• Designate a primary point of contact for the project

Project delays caused by late Client responses may affect delivery timelines. Oddy Agency is not liable for delays caused by the Client.

6. Intellectual Property

Upon receipt of full payment, the Client will own all custom designs, code, and creative work produced specifically for their project. Oddy Agency retains the right to display completed work in its portfolio and marketing materials unless the Client requests otherwise in writing.

Any third-party assets, fonts, plugins, or stock images used in the project remain subject to their respective licences.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the project and not to disclose it to third parties without written consent, except as required by law.

8. Warranties & Disclaimers

Oddy Agency warrants that all work will be performed with reasonable skill and care. However, we do not guarantee specific search engine rankings, traffic levels, or revenue outcomes from SEO or marketing services, as these depend on many factors outside our control including search engine algorithm changes.

Websites are delivered in good working order on modern browsers at the time of launch. We are not responsible for issues arising from future browser updates or third-party platform changes after the project is complete.

9. Limitation of Liability

Oddy Agency's total liability to the Client for any claim arising out of or relating to a project shall not exceed the total fees paid by the Client for that project. We shall not be liable for any indirect, incidental, or consequential damages.

10. Cancellation

Either party may cancel a project with 14 days' written notice. If the Client cancels after work has begun, the deposit is non-refundable and the Client is liable for payment for all work completed up to the cancellation date.

11. Governing Law

These Terms are governed by the laws of the Republic of Ghana. Any disputes shall be resolved through good-faith negotiation. If unresolved, disputes will be referred to the appropriate courts in Accra, Ghana.

12. Changes to These Terms

We reserve the right to update these Terms at any time. Updated Terms will be posted on this page. Continued use of our services after changes constitutes acceptance of the updated Terms.
